MDEV Token

The MDEV Token is a utility token issued by MOTION x AL INC (BVI Company No. 2189006) through the PineappleExpress Launchpad and PineappleDEX. It does not represent equity, securities, or investment instruments. Participation in token-related activities is voluntary and subject to user's compliance with applicable laws.

1. Acceptance of Terms

By accessing or using the website https://www.motiondev.com (the "Website"), mobile applications and other online services provided by MOTION x AI INC ("we", "us", "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, you must not use the Website or our Services.

These Terms apply in conjunction with our Privacy Policy and any additional terms applicable to specific services (including token sale/staking, hardware purchase, developer tools) and, in the event of any conflict, the specific terms prevail.

2. Changes to Terms

We may update these Terms at any time by posting the revised version on the Website. The "Effective Date" will be updated. Continued use of our Services after such changes constitutes acceptance.

3. Services Description

We provide software, hardware and analytics services focused on posture and movement data, AI models, blockchain infrastructure and token utilities (MDEV token). Our Services may include:

• access to our software platform, apps, developer tools;
• wearable sensor devices and associated connectivity;
• token issuance, staking, governance activities;
• analytics, insights and data infrastructure.

You acknowledge that the scope of Services may evolve and we may introduce new features, tokens or integrations at our discretion.

4. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. By using our Services you represent and warrant that you have legal capacity to enter into these Terms, and that you will comply with all applicable laws (including securities, AML/KYC, token offering regulations) in your jurisdiction.

5. Account Registration

Where the Service requires registration, you agree to provide accurate, current and complete information, keep login credentials secure, and notify us of any unauthorised access. You are responsible for all activity under your account.

6. Token-Related Services

If you participate in the MDEV token launch, staking, governance or other token features:

• You acknowledge the token is a utility token (unless specified otherwise) and is not intended to constitute a share, equity interest, security, or investment contract (subject to applicable law).
• The token is issued by our BVI entity and integrated via PineappleDEX.
• You are responsible for understanding the nature of the token and any associated risks (including regulation, volatility, loss of value, irreversibility of transactions).
• We do not provide investment advice or guarantees of profit, return or appreciation of the token.
• Participation may be subject to risk, including regulatory status in your jurisdiction— you must ensure compliance with local law.
• Token forwarding, staking or transfers may be irreversible, and you assume all risks of blockchain transactions (including lost private keys, wallet theft, and network failure).

7. Prohibited Uses

You must not:

• Use the Services in breach of applicable laws or regulations;
• Attempt to gain unauthorised access to our systems, or interfere with the Services;
• Use the Services for any fraudulent or illegal purpose;
• Use the Services to send unsolicited communications or spam;
• Reverse-engineer, copy, modify or distribute any part of our Services except where expressly permitted.

8. Intellectual Property

All content, design, data, graphics, software, code, trademarks and other intellectual property ("IP") provided in connection with the Services is owned by us or our licensors. You may not reproduce, distribute or use such IP without our prior written consent. The token and related smart contract code remain the property of the issuer unless otherwise specified.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will we, our directors, employees, affiliates or licensors be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or other losses arising out of or in connection with your use of the Services or token. Our total liability (for direct damages) arising under or in connection with these Terms will in no circumstance exceed the amount you have paid to us in the previous 12 months (or, if none, GBP 100).

10. Disclaimers

Your use of the Services, the token and associated blockchain features is at your own risk. The Services are provided "as is" and "as available" without any warranty of any kind (express or implied). We make no representation or warranty that the token will achieve any particular utility, value or return, that the Services will meet your requirements or be uninterrupted or error-free.

You are responsible for safeguarding your wallet, private keys and passwords. We are not responsible for wallet losses, hacks or network outages.

11. Indemnification

You agree to indemnify, defend and hold us harmless from and against any losses, damages, liabilities, costs, expenses (including reasonable legal fees) arising out of or in connection with: (i) your use of the Services; (ii) your breach of these Terms; (iii) your violation of any applicable law or rights of a third party; (iv) your wallet or blockchain address being compromised.

12. Termination

We may suspend or terminate your access to the Services (including token features) at any time with reasonable notice (or without notice if required by law or fraud). On termination you must stop using the Services and we may deactivate or delete your account. Termination does not relieve you of liabilities accrued before termination nor does it affect rights or obligations which should survive (for example sections on Intellectual Property, Limitation of Liability, Indemnification).

13. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by the laws of the British Virgin Islands. You agree to submit to the exclusive jurisdiction of the courts of BVI to resolve disputes.

14. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, the remainder shall continue in full force.

We may assign our rights and obligations under these Terms to a third party (e.g., in case of a corporate reorganisation) but you may not assign your rights without our written consent.

The Terms constitute the entire agreement between you and us regarding the Services, replacing any prior agreements.
